Terms of Use

1. Acceptance

By accessing or using DentalStock Pro (the "Service"), you accept and agree to be bound by these Terms of Use ("Terms"). These Terms constitute a legally binding agreement between you ("you" or "Subscriber") and Bright Technology Pty Ltd trading as DentalStock Pro ABN: 32 697 297 886 ("we", "us", or "Provider"). If you do not agree to these Terms, you must not access or use the Service.

If you are accepting on behalf of a dental practice, company, or other legal entity, you represent and warrant that you have authority to bind that entity, and "you" refers to that entity throughout these Terms. These Terms should be read together with our Privacy Policy, Website Terms, and Cookies Policy, all of which form part of the agreement between us.

2. The Service

DentalStock Pro provides a cloud-based dental inventory management platform designed to help Australian dental practices manage their supplies, track expiry dates, manage supplier relationships, and optimise purchasing decisions. The Service includes a web-based application accessible via any modern browser, AI-powered features including scan-to-deduct functionality, smart stocktake assistance, and intelligent reorder suggestions, a shared dental product catalogue with AI-assisted pricing data, ordering, budget tracking, invoice storage, and multi-supplier management tools, and staff account management with role-based access controls for up to 5 Authorised Users on paid plans.

We reserve the right to update, modify, or enhance the Service at any time. Material changes that adversely affect your use of the Service will be communicated with reasonable prior notice via email or in-platform notification.

3. Intended Use — Dental Practice Management Only

The Service is made available solely and exclusively for the purpose of internal dental practice inventory management by registered dental practices and their authorised staff. Access to the Service is granted strictly on this basis. Every person who creates an account, logs in, or otherwise uses the Service — whether as a subscriber, an Authorised User, a trial user, or a free plan user — is bound by this restriction and must use the Service only for its intended purpose.

You must not use the Service, or permit it to be used, for any purpose other than the management of dental inventory within your own practice. Specifically, the Service must not be used to provide services to third parties on a bureau or outsourced basis; to manage inventory for any business that is not a registered dental practice; to conduct market research, competitive analysis, or any form of intelligence gathering on the Service, its features, or its pricing; to support, train, or inform the development of any other software platform, application, or tool; or for any personal, recreational, or non-commercial purpose that falls outside of dental practice operations.

By accepting these Terms, you acknowledge that the intended use restriction is a fundamental and material condition of the licence granted to you. Any use of the Service outside its intended purpose constitutes a serious breach of these Terms and will result in immediate termination of your account. We reserve all rights to pursue legal remedies available to us in respect of any such breach, including injunctive relief and claims for damages.

4. Licence to Use

Subject to your compliance with these Terms and payment of all applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service during your subscription term solely for your internal dental practice management purposes and in accordance with our Documentation. This licence is personal to you and your practice. It does not include the right to sublicense, resell, or make the Service available to third parties outside your authorised staff accounts.

Pro plan subscribers may add up to 5 staff members as Authorised Users. You are responsible for ensuring all Authorised Users comply with these Terms. All actions taken by your Authorised Users are treated as your actions and your responsibility. You must ensure that access credentials are not shared with, transferred to, or used by any person who is not a registered Authorised User on your account.

5. Ownership of the Platform and Intellectual Property

DentalStock Pro, including all of its software code, architecture, algorithms, AI models, user interface designs, workflows, product catalogue, data structures, trade marks, branding, logos, documentation, and all other components of the Service, is the exclusive proprietary property of Bright Technology Pty Ltd trading as DentalStock Pro. All intellectual property rights in the Service, whether registered or unregistered, including copyright, trade marks, patents, design rights, trade secrets, and know-how, vest solely and exclusively in the Provider. No rights in the Service are transferred to you by these Terms or by any use of the Service. The licence granted in clause 4 is a limited right of access only and does not constitute a transfer, assignment, or sharing of any ownership interest in the Service or any part of it.

The Service, its source code, compiled code, underlying systems, design elements, and business logic represent significant proprietary investment and constitute confidential trade secrets of the Provider. You acknowledge that unauthorised reproduction, distribution, or commercial exploitation of the Service or any part of it would cause irreparable harm to the Provider that could not adequately be compensated by damages alone.

If you provide any feedback, suggestions, or recommendations regarding the Service, you grant us a perpetual, irrevocable, royalty-free, worldwide licence to use and commercialise that feedback without restriction or any obligation to you.

6. Prohibited Copying, Reproduction and Commercial Exploitation

The unauthorised copying, reproduction, cloning, or commercial exploitation of the Service or any part of it is strictly prohibited and constitutes a serious violation of these Terms and of Australian and international intellectual property law. Without limiting the generality of this prohibition, you must not and must not attempt to, directly or indirectly, copy, reproduce, duplicate, or replicate the Service or any component of it including its software, interface design, workflows, feature set, AI functionality, or product catalogue for any purpose whatsoever; create, develop, build, or contribute to any software platform, application, tool, or product that is based on, derived from, substantially similar to, or intended to compete with the Service; use your access to the Service to observe, analyse, benchmark, or document its features, functionality, or design for the purpose of informing the development of a competing or derivative product; resell, sublicense, commercialise, or otherwise exploit access to the Service or any part of it for financial gain or commercial advantage without our express written consent; or use the Service to develop training data, machine learning models, or artificial intelligence systems that replicate, approximate, or are informed by the Service's functionality.

For the avoidance of doubt, any person or entity that copies, clones, or reproduces the Service or any material part of it and uses or distributes that copy for commercial purposes — whether by selling access to a competing platform, licensing the copied functionality, distributing the Service as part of another product, or any other form of commercial exploitation — will be subject to legal action by the Provider. We expressly reserve the right to pursue all legal remedies available to us under Australian law and applicable international law, including claims for copyright infringement, breach of confidence, breach of contract, trade mark infringement, unjust enrichment, and claims for account of profits and injunctive relief. We will not hesitate to take action, including urgent interlocutory injunctions to immediately restrain ongoing infringement, against any party that misappropriates the Service.

7. Reverse Engineering and Technical Circumvention

You must not, under any circumstances, reverse engineer, decompile, disassemble, decrypt, or otherwise attempt to derive or reconstruct the source code, object code, algorithms, data structures, or underlying logic of the Service or any part of it. You must not use any automated tool, script, bot, web crawler, screen scraper, data extraction tool, or any other method to systematically access, copy, or extract content, data, or functionality from the Service beyond what is made available through our standard user interface. You must not attempt to identify, probe, test, or exploit any security vulnerability in the Service or its underlying infrastructure. You must not bypass, circumvent, remove, deactivate, impair, or otherwise interfere with any technical protection measure, access control, authentication system, or licence enforcement mechanism incorporated into the Service. Any attempt to do so constitutes a serious breach of these Terms and may also constitute a criminal offence under the Criminal Code Act 1995 (Cth) and the Copyright Act 1968 (Cth).

8. Licence Restrictions

In addition to the prohibitions in clauses 6 and 7, you must not, and must ensure your Authorised Users do not, modify, adapt, translate, or create derivative works based on the Service or any part of it; rent, lease, lend, sell, redistribute, or sublicense the Service or access to it to any third party; use the Service for any unlawful purpose or in violation of any applicable law or regulation; remove, obscure, or alter any copyright notices, trade marks, or proprietary rights notices on the Service; use the Service to build, support, or promote a competing product or service; introduce any virus, worm, trojan horse, ransomware, spyware, or other malicious or destructive code into the Service or its infrastructure; or use the Service in a manner that damages, overloads, or impairs the Service or interferes with any other user's ability to access it. Breach of any restriction in this clause may result in immediate suspension or termination of your account without notice and without refund, and may expose you to civil and criminal liability.

9. Your Data

You retain all rights, title, and interest in any data, content, or information you input into the Service ("Your Data"). We claim no ownership over Your Data. You grant us a limited, non-exclusive licence to use, store, process, and transmit Your Data solely to the extent necessary to provide the Service and fulfil our obligations to you. We will not sell Your Data to third parties, use it for advertising purposes, or access it except as necessary to provide the Service or as required by law.

You are solely responsible for the accuracy, quality, and legality of all data you input into the Service; ensuring you have all necessary rights, consents, and permissions to upload data, including any personal information about patients, staff, or suppliers; and complying with the Privacy Act 1988 (Cth) and applicable health records legislation in relation to any personal information you store in the Service.

We implement industry-standard technical and organisational security measures to protect Your Data, including encryption at rest and in transit, access controls, and regular security reviews. No system is completely secure and we cannot guarantee absolute security. On termination of your subscription, Your Data will remain available for export for 30 days, after which it may be permanently deleted in accordance with our data retention policy.

10. Support and Service Availability

DentalStock Pro provides technical support to paid plan subscribers via email at info@dentalstockpro.com.au during business hours, being Monday to Friday 9:00 am to 5:00 pm AEST/AEDT, excluding Queensland public holidays. We aim to respond to critical issues within 24 business hours. Free plan subscribers have access to self-service documentation and help articles only. We do not provide support by phone unless separately agreed.

We aim for 99.5% platform uptime and will make commercially reasonable efforts to achieve this target. We do not provide a binding uptime guarantee or service level agreement unless separately agreed in writing. The Service may be unavailable during scheduled maintenance windows communicated in advance where practicable, emergency maintenance required to address security or critical issues, or events outside our reasonable control including acts of God, telecommunications failures, government actions, or third-party cyberattacks.

11. Our Responsibilities and Obligations

We will provide the Service materially as described in these Terms and our Documentation; maintain appropriate technical and organisational security measures to protect your data; provide reasonable technical support to paid plan subscribers during business hours; notify you of material changes to the Service, pricing, or these Terms with reasonable prior notice; comply with the Privacy Act 1988 (Cth) and the Australian Privacy Principles in handling your personal information; make commercially reasonable efforts to maintain Service availability; store your data in Australia or in jurisdictions with adequate data protection standards; and provide you with the ability to export your data upon request or on termination of your subscription.

12. Your Responsibilities and Obligations

You will use the Service in compliance with these Terms and all applicable laws and regulations; use the Service only for its intended purpose as set out in clause 3; maintain the security of your account credentials and notify us immediately of any actual or suspected unauthorised access to your account; ensure all data you input into the Service is accurate, current, and lawful; comply with the Privacy Act 1988 (Cth) and applicable privacy legislation in relation to any personal information you store in the Service; promptly report to us any actual or suspected security incidents involving the Service, including any suspected unauthorised copying or commercial exploitation of the Service; maintain adequate internet connectivity and compatible devices to access the Service; ensure your Authorised Users are aware of and comply with these Terms; and pay all applicable subscription fees on time in accordance with our payment terms.

13. Prohibited Use

You must not use the Service to violate any applicable laws or regulations including those relating to privacy, data protection, or professional conduct; infringe the intellectual property rights of any person or entity; transmit, store, or distribute any malicious code, spyware, viruses, or other harmful software; send unsolicited bulk communications; attempt to gain unauthorised access to the Service, our systems, or any other user's account; interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure; use the Service for any purpose other than internal dental practice inventory management as described in clause 3; engage in any conduct that constitutes professional misconduct under any applicable dental regulatory framework in Australia; or harvest, scrape, or collect data from the Service for any commercial purpose. We reserve the right to investigate any suspected breach of this clause and to take any action we consider appropriate, including immediate suspension or termination of your account without notice and without refund, and the commencement of civil or criminal proceedings.

14. Reporting Suspected Infringement

If you become aware of any actual or suspected copying, cloning, reproduction, or unauthorised commercial use of the Service by any person or entity, we ask that you report it to us immediately at info@dentalstockpro.com.au. Protecting the integrity of the platform benefits all users of the Service, and we take all reports of suspected infringement seriously. Reports may be made confidentially, and we will not disclose the identity of any person who reports suspected infringement without their consent.

15. Communications

By creating an account and using the Service, you consent to receive electronic communications from us. Service communications, including account activity notifications, security alerts, invoices, and system notices, are essential to the operation of your account and cannot be opted out of. Product update communications regarding new features, improvements, and changes to the Service will be sent to your registered email address. Promotional communications may be opted out of at any time by clicking the unsubscribe link in any promotional email or by contacting us at info@dentalstockpro.com.au. All electronic communications sent to your registered email address will be deemed received by you, and you are responsible for keeping your registered email address current and accessible.

16. Payment and Subscription Fees

Subscription fees are billed in advance at the commencement of each billing period and processed via Stripe. Current subscription plans and their applicable fees are published on our pricing page at dentalstockpro.com.au/pricing, which is updated from time to time. All prices are inclusive of GST where applicable. By subscribing to a paid plan, you agree to pay the fees as displayed on the pricing page at the time of your subscription.

All fees paid are non-refundable except as expressly required by the Australian Consumer Law or as otherwise stated in our Subscription Agreement. We may change subscription pricing at any time; for existing subscribers, price increases will take effect at the next renewal period with at least 30 days' prior written notice. You are encouraged to review the current pricing at dentalstockpro.com.au/pricing before subscribing or renewing. Failure to pay applicable fees may result in suspension or termination of your account after 14 days' written notice.

17. Free Trial

We may offer a free trial period to new subscribers on paid plans from time to time. The availability, duration, and conditions of any free trial are published on our website at dentalstockpro.com.au/pricing and may be updated or withdrawn at any time without notice. At the conclusion of any free trial, your subscription will automatically convert to a paid plan unless you cancel before the trial period ends. No credit card is required to commence a free trial unless otherwise stated on the pricing page. All Terms of Use, including the intended use restriction in clause 3 and the intellectual property protections in clauses 5, 6, and 7, apply in full during any free trial period.

18. Confidentiality

Both parties agree to maintain strict confidentiality over the other party's proprietary and confidential information disclosed in connection with the Service, including trade secrets, business processes, technical information, pricing structures, customer data, and financial information. Each party may disclose confidential information to its employees, contractors, and advisers on a strict need-to-know basis where those persons are bound by equivalent confidentiality obligations. Confidential information may also be disclosed to the extent required by law, a court order, or a regulatory authority, provided the disclosing party gives the other as much prior written notice as is practicable. Confidentiality obligations survive termination of this agreement by 3 years.

19. Indemnity

You agree to indemnify, defend, and hold harmless the Provider and its officers, employees, agents, and contractors from and against all claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with your breach of these Terms, including any breach of the intended use restriction in clause 3, the intellectual property protections in clauses 5, 6, and 7, or the licence restrictions in clause 8; any unauthorised use of the Service by you or any person who gains access through your account; any infringement by you of the intellectual property rights of the Provider or any third party; or any gross negligence or wilful misconduct on your part.

20. Limitation of Liability

To the maximum extent permitted by law, we are not liable to you for any indirect, incidental, special, punitive, or consequential loss or damage, including loss of profits, revenue, data, or business, arising out of or in connection with these Terms or your use of the Service, whether in contract, tort, statute, or otherwise, even if we have been advised of the possibility of such loss. Our total aggregate liability to you for all claims arising under or in connection with these Terms in any 12-month period will not exceed the total fees actually paid by you to us in the 12 months immediately preceding the event giving rise to the claim. Nothing in these Terms excludes, restricts, or modifies any right or remedy, or any guarantee, warranty, or other term or condition implied or imposed by the Australian Consumer Law that cannot lawfully be excluded or limited.

21. Termination

We may suspend or terminate your access to the Service immediately and without notice if you breach any material term of these Terms, including the intended use restriction in clause 3 or the intellectual property protections in clauses 5, 6, and 7; if you fail to pay applicable fees and that failure continues for 14 days after written notice; if we determine in our reasonable discretion that continued access would expose us, the Service, or other users to legal, security, or reputational risk; or if we decide to discontinue the Service, in which case we will provide at least 60 days' prior notice where practicable. You may cancel your subscription at any time via your account settings or by contacting us at info@dentalstockpro.com.au. Upon termination for any reason, all licences granted to you immediately cease and you must stop using the Service. Termination does not limit any other right or remedy available to us, including the right to pursue legal action in respect of any breach that occurred prior to termination.

22. General

These Terms are governed by the laws of Queensland, Australia, and the parties submit to the non-exclusive jurisdiction of the courts of Queensland and the Federal Court of Australia. If a dispute arises, the parties agree to first attempt resolution by good faith negotiation, then by mediation administered by the Australian Disputes Centre, before commencing court proceedings, except that the Provider may seek urgent interlocutory or injunctive relief from a court of competent jurisdiction at any time without being required to first engage in negotiation or mediation. These Terms constitute the entire agreement between the parties regarding the Service and supersede all prior representations, negotiations, and agreements. We may amend these Terms at any time by posting updated terms at dentalstockpro.com.au/terms with at least 14 days' prior notice of material changes; your continued use after the effective date constitutes acceptance. If any provision is held invalid or unenforceable it will be severed and the remaining provisions continue in full force. The parties are independent contractors.
